What we do
There are two ways to work with us.
Ongoing support as your fractional general counsel — a flat monthly retainer for businesses that need legal input regularly — or individual services on an as-needed basis, one engagement at a time, when you have a specific project or document in front of you. Not sure which fits? We’ll help you find the right one.
In-house legal support without the cost of a full-time hire. We work as an extension of your team — a dedicated lawyer who knows your business, handles the contracts and decisions that come up week to week, and helps you spot risks early so you can move forward with confidence. It fills the gap for businesses that need legal input regularly, but not enough to bring a lawyer in-house — giving you a steady, dedicated resource on a flat monthly retainer we scope with you and revisit monthly.
Explore fractional general counselSetting up and structuring your company properly from the outset, so your foundation supports how you actually plan to grow.
The legal foundation of any co-owned business: ownership, decision-making, equity, transfer restrictions, and what happens in a dispute or exit.
We draft, review, and negotiate your commercial agreements — including customer and vendor contracts, service agreements, and NDAs — identifying and mitigating unforeseen risks before they become liabilities.
Employment agreements, contractor agreements, and offer letters — each built to hold up as your business grows. We help you classify workers correctly as employees or contractors, and set up IP ownership the way your business needs it, so there’s no confusion or costly surprises down the road.
Often the largest long-term commitment a small business makes. We review and help negotiate the lease terms before you commit.
Most business financing puts your own assets behind the loan. We review your loan, guarantee, and security documents — so you know exactly what you’re personally on the hook for before you borrow.
Website terms and privacy policies built to keep your business onside with Canada’s privacy and anti-spam laws — PIPEDA and CASL — drafted around how you actually collect and use data, so you’re not carrying the risk of a generic or outdated template.
Your advertising claims have to be true and backed up. We review your marketing, ads, and website content against Canada’s advertising law — the Competition Act and CASL — flagging the claims that could create legal exposure before they go out.
Both ways of working are delivered at a fixed fee, scoped and priced before the work begins. Within the scope of your engagement, ask as many questions as you need. If the scope changes, we propose a new price before any additional work begins, so you decide with the full picture in front of you.
Whether you know exactly what you need or you’re just figuring out where to start, let’s talk it through. The first conversation is on us.
